Wyoming or Delaware: what each state requires from an LLC
An LLC is formed by filing a document with the Secretary of State of the chosen state. Filings, filing fees and annual obligations differ from one state to another. This page sets out the requirements of Wyoming, Delaware and New Mexico as each administration publishes them, with sources. It does not compare the merits of these states and recommends no choice.
What the three states have in common
In all three states the LLC exists once the formation document is recorded (Articles of Organization in Wyoming and New Mexico, Certificate of Formation in Delaware). None of these states requires members to reside in the United States.
A registered agent located in the state is mandatory from the filing onward and must be maintained every year. The agent receives official documents and notices from the state. The EIN application with the IRS is a separate federal filing, identical whatever the state.
The formation document does not ask for the list of members in these three states. Other documents (annual report, IRS forms, bank account opening) may ask for that information.
Wyoming
Filing the Articles of Organization costs $100 with the Wyoming Secretary of State. The filing is made online.
Every year the LLC files an annual report with a license tax: a minimum of $60, or $0.0002 per dollar of assets located and employed in Wyoming if that amount is higher. The report is due on the first day of the anniversary month of formation.
Delaware
Filing the Certificate of Formation costs $110 with the Delaware Division of Corporations. The form is transmitted to the Division.
Every year the LLC pays an annual tax of $400, due on or before June 1 for the prior year. No annual report is required from LLCs. Failure to pay results in a $200 penalty plus 1.5% interest per month on the tax and penalty.
New Mexico
Filing the Articles of Organization costs $50 with the New Mexico Secretary of State, through the state's online portal.
New Mexico requires no annual report from LLCs and levies no state annual tax on that basis. The obligation to maintain a registered agent remains.
